VALUATION OPTIONS INCLUDE:

1) Formal Appraisal (or Self-contained Appraisal) – A lengthy, complex report necessary for legal purposes (such as with divorce, tax matters, and / or bankruptcies) and usually of little use to business owners looking to sell a high gross profit business (extremely expensive).

2) Restricted Appraisal Report (or Business Valuation, Not for Legal Purposes) – A long, written report seeking to outline and calculate the value of a high gross profit business, usually utilizing EBITDA, or Earnings before Interest, Taxes, Depreciation, and Amortization (very expensive).

3) Value Builder Score ™ – A business analysis addressing eight categories, such as financial performance, potential earnings, and customer service, which contribute to the value of a business (expensive).

4) Seller’s Discretionary Earnings (SDE) – A less formal business valuation identifying the total cash flow / revenue of a business, including salary, benefits, and depreciation, generally used for businesses with gross annual sales less than $1MM (less expensive).

5) Broker Opinion of Value (or BPO, Broker Price Opinion) – A Broker Opinion of Value is appropriate for businesses with gross annual sales under $500K, especially when financials are inaccurate or incomplete, and / or when large amounts of revenue go unreported (least expensive).

6) No Valuation – Zero cost (see Fair Market vs. Strategic Value below).


Fair Market Value vs. Strategic Value:

  • Fair Market Value (FMV) – This is the price at which a business might sell between a willing buyer and a willing seller. Most small businesses will sell in this category (very common).
  • Strategic Value (also called Investment Value) – The value of a business to a specific buyer. For companies with a cash flow (EBITDA) above $1MM, a strategic value valuation will establish a floor.
